The Ministerial Decision No. 5186/2024 (Government Gazette 556/B/26-01-2024), with effect from 01.03.2024, provides for the use, gradually by the end of the year, of model Articles of Association for all legal forms engaged in commercial activities. The purpose of the above decision is to simplify, as well as to systematize the current procedure for the incorporation of a company.

The aforementioned Decision determines the content and format of the model Articles of Association of companies with additional content, which will now relate to a total of seventeen legal types and will be gradually available from 1 March 2024 via the electronic One-Stop Shop (e-OSS), which is the platform for the electronic incorporation and registration of a newly established company.

The Ministerial Decision applies to the following legal forms: General Partnership, Limited Partnership, Civil Partnership, Joint Venture, European Economic Interest Group, Société Anonyme, Limited Liability Company, Private Company, European Company, Limited Partnership by Shares, Civil Cooperative Enterprise, Renewable Energy Community, Citizens’ Energy Community, European Cooperative Society, Social Cooperative Limited Liability Company, Social Cooperative Enterprise, Employees’ Association.

More specifically, the option to incorporate Sociétés Anonymes, Limited Liability Companies, Private Companies and General and Limited Partnerships using model articles of association with additional content will become available from 1st March 2024. From the 1st of May 2024 said option shall be available regarding Civil Partnership, Joint Ventures and Limited Partnerships by shares. Furthermore, the incorporation using model articles of association of Civil Cooperative Enterprise, Renewable Energy Communities and Citizens’ Energy Communities will be available from 1st July 2024. For Social Cooperative Limited Liability Company, Social Cooperative Enterprise and Employees’ Association, the standard articles of association will be available from 1st October 2024, while those pertaining to the European Company, the European Cooperative Society and the European Economic Interest Group from 1st December 2024.
